This Agreement is published publicly at https://getgmv.com/affiliate-terms and is accepted in the GetGMV iOS app. Each version remains permanently available at its own version URL. Your acceptance is recorded against the specific version identified above.

Read This First

This Agreement is between you ("Affiliate," "you") and GetGMV LLC, a Montana limited liability company ("GetGMV," "we," "us").

By tapping "I Agree" you enter a binding contract. It includes an arbitration clause and class action waiver in Section 17 — you and GetGMV each give up the right to sue in court or participate in a class action. It also makes you personally responsible for how you promote GetGMV, including under FTC rules (Section 8).

If you don't agree, don't tap. You can't join the Affiliate Program without accepting.

1. What This Agreement Covers

GetGMV runs a referral program (the "Program"). You share a referral code. People who type your code and subscribe become your referred subscribers. We pay you a share of what we actually keep from their subscription payments.

That's the whole idea. The rest of this document is the detail.

2. Definitions

"Affiliate Account" — your enrollment record in the Program, including your Referral Code, earnings ledger, and payout settings.

"Apple" — Apple Inc. and its affiliates, which operate the App Store and process all in-app purchases of GetGMV subscriptions.

"Commission Period" — the twelve (12) consecutive calendar months beginning on the date of a Qualified Subscriber's Paid Conversion. Commissions accrue only on Net Revenue recognized during the Commission Period. The Commission Period runs continuously and does not pause, extend, or restart if the subscriber cancels, lapses, downgrades, upgrades, or resubscribes.

The Commission Period does not begin at Free Trial start. It begins only at Paid Conversion. The length of any Free Trial does not extend, shorten, or otherwise affect the Commission Period.

"Free Trial" — the seven (7) day no-charge evaluation period GetGMV offers new users, or any other promotional, discounted, or $0 introductory period we offer from time to time. Trial length and availability are set by us and may change at any time.

"Paid Conversion" — the first subscription charge that is successfully billed by Apple and settled to GetGMV for a given Qualified Subscriber, following expiry of any Free Trial. A Paid Conversion has not occurred until funds are actually settled to us. Authorizations, pending charges, failed charges, and charges in Apple's billing retry or grace-period state are not Paid Conversions.

"Net Revenue" — for any subscription payment from a Qualified Subscriber, the amount GetGMV actually receives and retains, calculated as:

Gross subscription price paid by the subscriber

− platform commission actually withheld by Apple on that transaction (currently 15% under Apple's Small Business Program; this rate is set by Apple and may change, including to 30% or to alternate EU rates, in which case the rate actually withheld applies)

− subscription infrastructure and payment processing fees attributable to that transaction (including RevenueCat)

− sales tax, VAT, GST, digital services taxes, or similar amounts collected and remitted

− refunds, chargebacks, reversals, and billing credits attributable to that transaction

= Net Revenue

Net Revenue never includes Free Trials, promotional or $0 periods, promo-code redemptions, Apple-issued credits, family sharing where no separate charge occurs, or amounts GetGMV bills but does not collect. A Free Trial generates zero Net Revenue and therefore zero commission, regardless of how long the trial runs or how actively the user engages with the app during it.

"Payout Platform" — the third-party payment service we designate to disburse Program payments (currently Stripe Connect Express). We may change providers at any time.

"Qualified Subscriber" — a person or entity that meets all of the conditions in Section 5.

"Referral Code" — the unique alphanumeric code we issue to you.

3. Eligibility

To join and stay in the Program you must:

  • Be at least 18 years old and legally able to enter contracts;
  • Provide accurate identity, contact, and tax information, and keep it current;
  • Complete the Payout Platform's payout onboarding — which collects your tax information (the information reported on IRS Form W-9) — before we release any payment;
  • Not be a current GetGMV employee, contractor, officer, or member, or a member of their household, unless we approve in writing;
  • Not appear on any U.S. government restricted-party or sanctions list;
  • Maintain an account in good standing with the Payout Platform.

U.S. affiliates only (for now). The Program is currently open only to affiliates in the United States. In addition to the requirements above, to join and to receive any payment you must:

  • Be a U.S. person — a U.S. citizen or U.S.-resident individual — or an entity organized and domiciled in the United States;
  • Be able to receive payment in the United States through the Payout Platform (a U.S. payout method); and
  • Complete payout onboarding, including your U.S. tax information (IRS Form W-9), before we release any payment.

Non-U.S. applicants are not eligible at this time, and this requirement controls over anything elsewhere in this Agreement that contemplates non-U.S. participation. We may open the Program to non-U.S. affiliates in the future; unless and until we do, this Section governs.

No tax information, no payout. We will not release any payment, of any amount, until you have completed the Payout Platform's payout onboarding, including the tax information reported on IRS Form W-9 — the Payout Platform collects it during onboarding. This obligation applies regardless of the balance owed and regardless of any dollar threshold the Payout Platform may apply to tax documentation. Commission you have otherwise earned may continue to accrue, but remains unpayable until your tax information is on file.

We may approve, decline, suspend, or remove any applicant at our sole discretion, with or without cause. Enrollment is not a right.

4. Your Referral Code

We issue you one Referral Code. You may not:

  • Create multiple Affiliate Accounts, or operate an account for someone we've removed from the Program;
  • Sell, rent, transfer, or share your Referral Code with another affiliate;
  • Modify, obscure, or misrepresent your Code;
  • Register domains, social handles, app names, or accounts that include "GetGMV" or a confusingly similar term (see Section 10).

We may reissue or revoke your Code at any time.

5. Attribution — How a Referral Counts

This is the section that determines whether you get paid. Read it carefully.

5.1 Typed code only

Attribution happens only when a new user manually types or pastes your Referral Code into the designated field in the GetGMV app during signup or first-run onboarding. We do not use tracking links, cookies, device fingerprinting, pixels, or post-install attribution SDKs. If the code isn't typed in that field, there is no referral, no matter what other evidence exists.

5.2 First-touch and code-locked

The first valid Referral Code entered on an account is permanently locked to that account. Later codes are rejected. Attribution cannot be changed, transferred, reassigned, or applied retroactively — including at the subscriber's request.

5.3 New users only

A Qualified Subscriber must be a genuinely new user who has never previously (a) created a GetGMV account, (b) started a GetGMV free trial, or (c) held a GetGMV subscription — under any email address, Apple ID, phone number, or payment method. Reinstalls, reactivations, win-backs, and returning users do not qualify.

5.4 No self-referral

You may not use your own Code, and you may not earn on subscriptions from: yourself; accounts you own or control; your spouse, domestic partner, or household members; entities you own, control, or are employed by; or accounts created using your payment method, device, IP address, or contact details. We may treat shared device, IP, payment instrument, or identity signals as evidence of self-referral.

5.5 Free trials earn nothing. Only Paid Conversion earns commission.

GetGMV offers a seven (7) day Free Trial. Referring someone into a Free Trial is not a commissionable event.

  • A trial start earns you nothing. Signups, installs, account creations, and Free Trial starts generate no commission — Pending or otherwise. No entry appears in your earnings ledger at trial start.
  • Commission is earned only at Paid Conversion — when the subscriber's first real charge is successfully billed by Apple and settled to us after the Free Trial ends.
  • If the subscriber cancels at any point during the Free Trial, no commission is ever owed to you for that subscriber. This is final. It does not matter that the trial was started with your Referral Code, that the user was active during the trial, or that they later return; a returning user is not a new user under Section 5.3 and cannot generate a second referral.
  • If the trial expires and the first charge fails — declined card, expired payment method, insufficient funds, Apple billing retry, or grace period — there is no Paid Conversion and no commission unless and until that charge actually settles to us.
  • If we extend, shorten, or waive a Free Trial for a subscriber, or offer a promotional or $0 period, commission still accrues only from the first settled paid charge.
  • A Free Trial that converts and is then refunded is treated as a refund under Section 7.2 and clawed back in full.

Your dashboard may display referred trial starts for your own visibility. Displayed trial counts are informational only and are not earnings, not Pending commission, and create no entitlement to payment.

5.6 Our records control

Our internal attribution and revenue records are the sole and final basis for calculating commissions. You may dispute a specific entry under Section 7.6, but our determination is final absent our manifest error.

6. Commission

6.1 Rate

We pay you fifteen percent (15%) of Net Revenue from each Qualified Subscriber, on each subscription payment recognized during that subscriber's Commission Period. Because a Free Trial generates no Net Revenue, it generates no commission.

6.2 Recurring for 12 months from Paid Conversion

Commission applies to the Paid Conversion charge and each renewal within the Commission Period. After 12 months from the Paid Conversion date — not the trial start date — commissions on that subscriber stop permanently.

6.3 Worked example

A subscriber on the $349.99/month plan, with Apple withholding 15% and roughly 1% in RevenueCat/processing fees:

Timeline for that subscriber: trial starts day 1 (you earn $0) → trial ends day 7 → Paid Conversion day 8, commission posts as Pending → Approved day 38 → paid on the next monthly cycle under Section 7.5, if your Approved balance is at least $50 and your payout onboarding, including tax information, is complete. If that user had cancelled on day 5, you would earn nothing at all.

6.4 Tier changes — upgrades, downgrades, and crossgrades

GetGMV offers multiple subscription tiers. Subscribers may change tiers at any time. Your commission always follows what the subscriber actually pays: 15% of the Net Revenue actually recognized on their current tier, from the date the change takes effect. You are neither rewarded nor penalized for a tier change beyond the underlying revenue change.

The Commission Period never changes. It runs twelve months from Paid Conversion regardless of how many times the subscriber changes tiers, in either direction. A tier change does not extend, restart, pause, or shorten it.

(a) Upgrades — effective immediately, no clawback. When a subscriber moves to a higher tier, Apple applies the change immediately: it credits the unused portion of the old tier's current billing period and charges the new, higher tier right away. From the date the upgrade takes effect, you earn 15% of the Net Revenue actually recognized on the new tier, and the new charge enters your ledger as Pending with its own 30-day hold under Section 7.1.

An upgrade never reverses commission you have already earned. The commission accrued on the old tier stands in full. There is no proration clawback, no partial reversal, and nothing for you to reconcile — an upgrade only ever moves your earnings up, from the date it takes effect forward.

Example: a subscriber on the $49.99 tier upgrades to $349.99 halfway through a monthly period. You keep the full commission already accrued on the $49.99 charge, and you begin earning on the $349.99 charge from the upgrade date.

(b) Downgrades — effective at the next renewal, no proration. When a subscriber moves to a lower tier, Apple keeps them on the current tier until the end of the billing period they've already paid for, then renews them at the lower tier and price. Accordingly:

  • You keep your full commission on the current period at the higher tier. There is no proration, no refund, and no clawback for a downgrade.
  • From the next renewal onward, you earn 15% of the lower tier's Net Revenue.

Example: a subscriber on the $349.99 tier downgrades to $49.99 on day 10 of a monthly period. You keep the full commission on that $349.99 charge, and earn on $49.99 from the next renewal.

(c) Crossgrades and billing-term changes. A change between tiers of equivalent level, or between billing durations (for example monthly to annual), is governed by Apple's rules: same-duration crossgrades take effect immediately and are treated as upgrades under (a); different-duration changes take effect at the next renewal and are treated as downgrades under (b). In every case, commission follows actual Net Revenue on whatever the subscriber is actually billed.

(d) Cancellation and resubscription. If a subscriber cancels and later resubscribes, they are not a new user under Section 5.3 and generate no new referral. If their original Commission Period has not yet expired, commission resumes at 15% of the new tier's Net Revenue for whatever remains of that Period. If it has expired, no further commission accrues.

(e) Zero-revenue periods. If a tier change results in a period where GetGMV recognizes no Net Revenue from that subscriber, no commission accrues for that period. Commission is never advanced, estimated, or accrued against expected future revenue.

6.5 Our calculations control

Tier-change proration is performed by Apple, and the amounts we receive reflect Apple's calculation. We apply your 15% to the Net Revenue we actually recognize. Section 5.6 applies.

6.6 No other compensation

Commission is your sole compensation. You are not entitled to reimbursement for advertising spend, content production, tools, travel, or any other expense.

6.7 We may change the rate

We may modify commission rates, the Commission Period, or Program structure prospectively on thirty (30) days' notice (Section 18.2). Changes do not reduce commissions already accrued on subscribers referred before the effective date, for the remainder of their existing Commission Periods.

7. Holds, Clawbacks, and Payouts

7.1 30-day pending hold — starts at the paid charge, not the trial

Every commission enters your ledger as Pending. It becomes Approved thirty (30) days after the date GetGMV receives settled funds for the underlying transaction. Pending amounts are not owed to you and are not your property.

For a subscriber's first commission, the 30-day hold begins on the date of Paid Conversion — the date the first paid charge settles to us after the Free Trial ends. It does not begin at Free Trial start, and time elapsed during a Free Trial does not count toward the hold. Practically: a subscriber who starts a trial on day 1 converts on day 8, and that first commission becomes Approved no earlier than day 38, then falls into the next monthly payout cycle under Section 7.5.

7.2 Automatic clawback

If, at any time, the underlying transaction is refunded (by us, Apple, or otherwise), charged back, reversed, disputed, credited, or the subscriber cancels and receives any refund, the associated commission is automatically reversed in full. This applies whether the commission is Pending or already Approved, and whether or not it has already been paid.

Exception — upgrades. The prorated credit Apple applies when a subscriber moves to a higher tier is not a refund for the purposes of this Section, and never reverses commission. See Section 6.4(a).

7.3 Fraud clawback

We may reverse any commission — at any time, without time limit — that we determine in good faith arose from a violation of Sections 5, 8, or 9, or from any fraudulent, deceptive, or manipulative activity.

7.4 Negative balances carry forward

If clawbacks exceed your available balance, your ledger goes negative and the deficit carries forward indefinitely, offsetting future commissions until cleared. If you have a negative balance when this Agreement terminates, you must repay it on demand, and we may pursue collection.

7.5 Payment terms

  • Minimum threshold: $50.00 USD in Approved commission. Below that, the balance rolls to the next month.
  • Schedule: Monthly. We close each calendar month's ledger and pay eligible Approved balances within thirty (30) days after month-end (net-30).
  • Currency: U.S. dollars.
  • Method: Through the Payout Platform only. Payouts are made outside the GetGMV app and are not processed by Apple.
  • Tax information first: No payment is released until your payout onboarding, including the tax information reported on IRS Form W-9, is complete. Balances held for missing tax information do not accrue interest.
  • Your costs: You bear all Payout Platform fees, bank charges, and any applicable withholding.
  • Dormancy: If your Affiliate Account is inactive for twelve (12) consecutive months and your balance is below the $50 threshold, we may close the account and forfeit the balance, subject to applicable unclaimed property law.

7.6 Disputes

You must dispute any ledger entry or payment in writing within sixty (60) days of the statement or payment date. Undisputed entries are conclusively deemed accurate and you waive any claim on them.

7.7 Taxes

You are solely responsible for all taxes on your commissions. We report affiliate payments to the IRS as required (typically Form 1099-NEC, filed through the Payout Platform) and may withhold from payments where required by law (for example, IRS backup withholding).

8. FTC Compliance and Promotional Standards

This is the most important section in this Agreement. Under the FTC's Endorsement Guides (16 C.F.R. Part 255), GetGMV can be held liable for your deceptive or unsubstantiated claims. Violations here are material breaches and grounds for immediate termination and total forfeiture.

8.1 You must disclose, every time

Every post, video, story, livestream, email, DM, comment, podcast mention, or other promotion referencing GetGMV must include a clear and conspicuous disclosure that you have a paid or commissioned relationship with GetGMV. Specifically:

  • Use plain language: #ad, #sponsored, "Paid partnership with GetGMV," or "I earn a commission if you use my code."
  • Place it at the beginning of captions and descriptions — not after a "more" fold, not buried in a hashtag pile, not only in a bio, linktree, pinned comment, or landing page.
  • In video: disclose both on-screen (superimposed text, readable, several seconds) and verbally, near the start and again near any call to action. A caption-only disclosure is not enough for video.
  • In audio-only: disclose verbally.
  • In livestreams: disclose periodically throughout, not once at the start.
  • Use the native disclosure tools of each platform (e.g., TikTok's branded content toggle) in addition to, never instead of, your own disclosure.
  • Disclose in the same language as the content.

Ambiguous tags — #collab, #partner, #sp, #thanks, #gifted, #ambassador — do not satisfy this section.

8.2 Claims you may not make

You may not state, imply, or suggest:

Earnings and results

  • Any specific or implied earnings, revenue, GMV, sales, commissions, ROI, ROAS, view counts, follower growth, or conversion rates achievable with GetGMV — whether yours, anyone else's, or hypothetical;
  • Any timeline to a result ("first sale in a week," "$10k in 30 days");
  • Any guarantee, promise, or "typical result" framing;
  • Screenshots, dashboards, or graphics of earnings, GMV, or analytics presented as achievable outcomes of using GetGMV;
  • Income opportunity, business opportunity, or "make money from home" framing.

Product and platform

  • That GetGMV is affiliated with, endorsed by, partnered with, approved by, or officially connected to TikTok, ByteDance, Apple, or any other company;
  • That GetGMV videos are guaranteed to comply with, be approved by, or avoid penalties under TikTok, TikTok Shop, or advertising platform policies;
  • That GetGMV output is human-created, or any framing that conceals its AI-generated nature where doing so would mislead;
  • Any feature, capability, integration, price, or availability that does not currently exist as documented in the app and on gmvpartners.co / the GetGMV App Store listing;
  • Comparative or superiority claims against named competitors.

Free trial and billing

If you promote the Free Trial, you must not misrepresent how it works. You may not state or imply:

  • That GetGMV is "free," "free forever," "no cost," or "no credit card required," or otherwise obscure that the trial converts to a paid subscription automatically unless cancelled;
  • Any trial length, price, or plan other than what is currently shown in the app and on the App Store listing;
  • That cancellation is unnecessary, automatic, or handled by GetGMV — cancellation is managed by the subscriber through their Apple ID subscription settings;
  • That a refund is available after conversion, or that GetGMV can issue refunds (Apple controls refunds for in-app purchases);
  • Anything suggesting the trial is risk-free in a way that conceals the auto-renewal.

Where you promote the trial, you must state clearly and near the offer that it converts to a paid subscription at the end of the trial period unless cancelled.

Endorsement integrity

  • Any endorsement, review, testimonial, or experience that is not your own genuine, current, first-hand use of GetGMV;
  • Fake or incentivized reviews, or reviews posted while concealing your affiliate relationship;
  • Claims that you are an employee, agent, representative, spokesperson, or official partner of GetGMV;
  • Speaking or acting on behalf of GetGMV, including responding to press, making commitments, or handling customer complaints as if you were us.

8.3 Substantiation

Any factual claim you make about GetGMV must be truthful, not misleading, and substantiated at the time you make it. If we ask, you must produce your substantiation within five (5) business days. Keep records of your promotional content and any supporting evidence for two (2) years.

8.4 Takedown right

We may require you to edit, correct, add disclosure to, or remove any content referencing GetGMV, for any reason, at our sole discretion. You must comply within twenty-four (24) hours of notice to your registered email. Failure to comply is a material breach, and we may terminate you, forfeit your entire balance, and pursue any other remedy.

8.5 Monitoring

You consent to our monitoring of your public promotional activity. We may request access to analytics, post archives, or ad account records reasonably related to GetGMV promotion.

9. Prohibited Promotion Methods

You may not promote GetGMV through any of the following:

Attribution abuse

  • Self-referral or any circumvention of Section 5.4;
  • Creating, funding, or coordinating fake, duplicate, incentivized, or bot-driven signups;
  • Cookie stuffing, forced clicks, auto-fill, or any technical manipulation of code entry;
  • Sharing your Code with users who would have subscribed anyway in exchange for a rebate, kickback, or split.

Search and advertising

  • Bidding on, purchasing, or targeting the keywords "GetGMV," "Get GMV," or any misspelling, variant, or combination with modifiers ("GetGMV discount," "GetGMV coupon," "GetGMV review," "GetGMV app") in any paid search, app store search ads, or advertising platform;
  • Using "GetGMV" or variants in ad headlines, display URLs, or ad copy in a way that implies you are GetGMV;
  • Direct-linking paid ads to gmvpartners.co, the GetGMV App Store listing, or any GetGMV-controlled property;
  • Trademark bidding on any GetGMV trademark or brand term in any medium.

Channel restrictions

  • Coupon, deal, discount, cashback, loyalty, or voucher sites and browser extensions;
  • Incentivized traffic: paid-to-click, paid-to-sign-up, reward walls, loyalty points, sweepstakes entries, giveaways conditioned on using your Code, or any offer of cash or value in exchange for redemption;
  • Unsolicited email, SMS, or messaging (any CAN-SPAM, TCPA, CASL, or platform-rule violation);
  • Mass unsolicited DMs, comment spam, forum spam, tag spam, or reply spam;
  • Automated posting, engagement farming, or bot networks;
  • Adware, spyware, toolbars, pop-ups, pop-unders, redirects, or injected content;
  • Typosquatted or confusingly similar domains, app listings, or social handles;
  • Impersonating GetGMV, its founder, its employees, or any customer;
  • Placing GetGMV content adjacent to adult, hateful, harassing, violent, illegal, or otherwise objectionable material;
  • Marketing to anyone under 18, or in any way targeting minors;
  • Any multi-level, pyramid, matrix, or sub-affiliate recruitment structure;
  • Any activity violating the terms of service of any platform you use, including TikTok, Meta, Google, and Apple.

Data

  • Scraping, harvesting, or purchasing contact data for GetGMV promotion;
  • Collecting personal information from prospects on GetGMV's behalf or under GetGMV's name.

We may add to this list at any time under Section 18.2.

10. Brand and Intellectual Property License

10.1 What you get

During the term, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use GetGMV's name, logo, screenshots, and marketing assets solely to promote GetGMV under this Agreement, and only in the form we supply.

10.2 What you may not do

You may not: modify, recolor, distort, or animate our marks; combine them with your own marks into a composite; use them in a domain name, app name, social handle, business name, or product name; register or attempt to register them or anything confusingly similar anywhere in the world; use them in a way suggesting endorsement of your own products or services; or use them after termination.

10.3 Ownership

All GetGMV intellectual property remains ours. All goodwill from your use runs to us. You acquire no rights beyond the license in 10.1.

10.4 Your content

You keep ownership of content you create. You grant us a perpetual, worldwide, royalty-free, non-exclusive, sublicensable license to reproduce, display, adapt, and distribute your GetGMV-related promotional content and your name, handle, and likeness as they appear in it, for our marketing purposes. You represent you have all rights necessary to grant this — including rights to any music, footage, images, and third-party likenesses in your content.

10.5 Third-party rights

You are solely responsible for clearing music, stock media, fonts, product footage, and any person's likeness appearing in your promotions. We provide no clearance and no indemnity for your content.

11. Confidentiality

"Confidential Information" means non-public information we disclose to you or you learn through the Program — including commission rates offered to others, unreleased features and roadmap, pricing not publicly listed, subscriber and revenue data, our attribution and fraud-detection methods, and the non-public terms of any separate arrangement with you.

You must keep it confidential, use it only to perform under this Agreement, and not disclose it to anyone. This obligation survives termination by three (3) years — indefinitely for anything qualifying as a trade secret.

Exceptions: information that is or becomes public through no fault of yours; that you already lawfully knew; that you independently developed; or that you must disclose by law (give us prompt notice first, if legally permitted).

12. Your Representations and Warranties

You represent, warrant, and covenant that:

  • All information you give us is truthful, accurate, and current;
  • You have full authority to enter this Agreement;
  • You will comply with all applicable laws, including the FTC Act and Endorsement Guides, CAN-SPAM, the TCPA, state UDAP statutes, and applicable data protection and advertising law;
  • You will comply with the terms of every platform you use to promote GetGMV;
  • You will not make any claim prohibited by Section 8 or use any method prohibited by Section 9;
  • You have genuinely used GetGMV before endorsing it;
  • Your promotional content does not infringe any third party's rights;
  • You are not acting as an agent, employee, or representative of GetGMV in any capacity.

13. Relationship of the Parties

You are an independent contractor. This Agreement creates no employment, partnership, joint venture, franchise, or agency relationship. You:

  • Control your own methods, schedule, tools, and means of promotion;
  • Receive no wages, benefits, insurance, workers' compensation, or unemployment coverage;
  • Pay your own taxes, including self-employment tax;
  • Have no authority to bind GetGMV, incur obligations on our behalf, or represent us;
  • Bear all your own costs.

Nothing here restricts you from promoting other products, including competing ones — subject only to Sections 8, 9, and 11.

14. Term, Suspension, and Termination

14.1 Term

Begins when you accept and continues until terminated.

14.2 Your right to terminate

You may terminate at any time, for any reason, through your Affiliate Account or by written notice. You remain entitled to Approved commissions earned before termination, subject to the $50 threshold, tax documentation, and Section 14.5.

14.3 Our right to terminate

We may terminate or suspend your participation:

  • For convenience, on seven (7) days' written notice;
  • Immediately, without notice, for breach of Sections 5, 8, 9, 11, or 12, or for suspected fraud;
  • Immediately, if we discontinue the Program entirely.

14.4 Suspension pending investigation

We may suspend your Affiliate Account and freeze your entire balance — Pending and Approved — while we investigate suspected fraud or breach. We'll aim to complete investigations within thirty (30) days, but complex cases may take longer. Frozen balances do not accrue interest.

14.5 Forfeiture

  • Termination for convenience or by you: Approved commissions earned before the termination date are paid on the next normal payout cycle. Pending commissions continue to mature and are paid if they become Approved. No new commissions accrue after termination — including on your existing referred subscribers, whose Commission Periods end immediately.
  • Termination for cause: You forfeit your entire balance, Pending and Approved, immediately and in full. This is not a penalty; it reflects that we cannot reliably separate legitimate from illegitimate earnings once fraud or material breach is established.
  • Fraudulently earned amounts already paid: You must repay them on demand. We may offset against any amount we owe you, refer the matter for collection, and recover our costs of collection including reasonable attorneys' fees.

14.6 Survival

Sections 2, 7.4, 7.6, 7.7, 8.3, 10.3, 10.4, 11, 12, 14.5, 15, 16, 17, and 18 survive termination.

15. Disclaimers

THE PROGRAM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, GETGMV DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT: THE PROGRAM WILL BE UNINTERRUPTED OR ERROR-FREE; TRACKING OR ATTRIBUTION WILL BE COMPLETE OR ACCURATE; YOU WILL EARN ANY PARTICULAR AMOUNT OR ANY AMOUNT AT ALL; OR THE PROGRAM WILL CONTINUE TO EXIST.

We make no representation about your potential earnings. Most affiliates earn little or nothing. Any figures we ever publish are illustrative, not typical results, and not a promise.

16. Limitation of Liability and Indemnification

16.1 Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GETGMV'S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THIS AGREEMENT OR THE PROGRAM WILL NOT EXCEED THE GREATER OF (A) THE TOTAL COMMISSIONS ACTUALLY PAID TO YOU IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

16.2 Excluded damages

GETGMV WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITY, OR COST OF SUBSTITUTE SERVICES — EVEN IF ADVISED OF THE POSSIBILITY.

16.3 Your indemnification of GetGMV

You will defend, indemnify, and hold harmless GetGMV, its members, officers, employees, contractors, and agents from and against any and all claims, demands, investigations, proceedings, losses, damages, liabilities, fines, penalties, settlements, judgments, and expenses (including reasonable attorneys' fees and costs) arising out of or relating to:

  • Any claim you make about GetGMV that is deceptive, misleading, unsubstantiated, or violates Section 8 — including any FTC or state attorney general inquiry, investigation, civil investigative demand, or enforcement action naming GetGMV that arises from your promotional conduct;
  • Your failure to disclose your affiliate relationship as required by Section 8.1;
  • Your breach of this Agreement or any representation in it;
  • Your violation of any law or any third party's rights, including intellectual property, publicity, and privacy rights;
  • Your promotional content, including any music, footage, or likeness in it;
  • Your violation of any platform's terms of service;
  • Any tax, employment, or benefits claim you or a taxing authority brings arising from your classification as an independent contractor.

We control the defense and settlement of any indemnified claim; you will cooperate fully and at your expense. This obligation is not capped by Section 16.1.

16.4 Basis of the bargain

You agree these limits are a fundamental basis of this Agreement and apply even if a limited remedy fails of its essential purpose. Some jurisdictions don't allow certain exclusions; in those places, the exclusions apply to the fullest extent permitted.

17. Governing Law and Dispute Resolution

PLEASE READ. THIS SECTION AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

17.1 Governing law

This Agreement is governed by the laws of the State of Montana, without regard to its conflict-of-laws rules. The Federal Arbitration Act governs the interpretation and enforcement of this Section 17.

17.2 Informal resolution first

Before starting arbitration, you must send a written Notice of Dispute to hello@getgmv.com describing the dispute and the relief you want. We'll do the same for any dispute we have with you. The parties will try in good faith to resolve it for sixty (60) days. This is a precondition to arbitration.

17.3 Binding arbitration

If informal resolution fails, any dispute arising out of or relating to this Agreement or the Program will be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect.

  • Seat: Yellowstone County, Montana, or, at your election, remotely by videoconference or on documents only.
  • Arbitrators: One.
  • Authority: The arbitrator decides all issues, including arbitrability, except as stated in 17.5.
  • Award: Written and reasoned; enforceable in any court of competent jurisdiction.

17.4 Class action waiver

YOU AND GETGMV EACH WAIVE ANY RIGHT TO BRING OR PARTICIPATE IN A CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, OR REPRESENTATIVE ACTION. The arbitrator may award relief only to the individual party seeking it, and only to the extent necessary to provide that party relief. If this waiver is held unenforceable as to any claim for public injunctive relief, that claim alone proceeds in court and is severed and stayed pending arbitration of all other claims.

17.5 Exceptions

Either party may (a) bring an individual claim in small claims court if it qualifies, and (b) seek temporary or preliminary injunctive relief in the state or federal courts located in Yellowstone County, Montana to protect intellectual property or Confidential Information. The parties consent to the personal jurisdiction of those courts for that purpose.

17.6 Costs

Filing, administrative, and arbitrator fees are allocated under the administrator's rules. If applicable rules require GetGMV to bear a greater share of fees for an individual claimant, GetGMV will do so. Each party otherwise bears its own attorneys' fees, unless a statute or this Agreement provides otherwise.

17.7 Opt-out

You may opt out of arbitration and the class waiver by emailing hello@getgmv.com within thirty (30) days of first accepting this Agreement, stating your name, Affiliate Account email, and that you opt out of Section 17. Opting out does not affect any other provision and will not be held against you.

17.8 Time limit

Any claim must be brought within one (1) year after it arises, or it is permanently barred — except where applicable law prohibits shortening the limitations period.

18. General

18.1 Publication and versions

The current version of this Agreement is published at https://getgmv.com/affiliate-terms. Every version we have ever published remains permanently available at its own version-specific URL (for example, https://getgmv.com/affiliate-terms/v1.0). The version you accepted, its effective date, and the exact text of that version are recorded in your Affiliate Account and available to you on request at any time. Where the version you accepted differs from the current published version, the version you accepted governs until you accept a newer one under Section 18.2.

18.2 Changes

We may modify this Agreement. We'll publish the updated version at the canonical URL with a new version number and effective date, keep the prior version available at its version URL, and notify you by email or in-app notice at least thirty (30) days before material changes take effect. Material changes require your affirmative acceptance of the new version. For non-material changes, continuing to participate after the effective date means you accept them. If you don't accept a material change, terminate under Section 14.2 before the effective date; you'll be paid Approved commissions earned under the prior version. Changes to Section 17 apply only prospectively and never to disputes for which you've already sent a Notice of Dispute.

18.3 Assignment

You may not assign this Agreement without our written consent; any attempt is void. We may assign freely, including in a merger, acquisition, or sale of assets.

18.4 Notices

We'll send notices to the email on your Affiliate Account — you're responsible for keeping it current. Send notices to us at hello@getgmv.com. Notices are effective when sent.

18.5 Severability

If any provision is unenforceable, it's modified to the minimum extent necessary or severed, and the rest stays in effect. Exception: if Section 17.4 (class waiver) is held unenforceable in its entirety, then Section 17.3 (arbitration) is void as to the affected claims and those claims proceed in the courts identified in Section 17.5.

18.6 No waiver

Our failure to enforce any provision isn't a waiver. Waivers must be in writing.

18.7 Force majeure

Neither party is liable for delays or failures caused by events beyond its reasonable control, including acts of God, war, labor disputes, platform outages, and changes to Apple's or TikTok's policies or APIs.

18.8 Entire agreement

This Agreement, together with the GetGMV Terms of Service and Privacy Policy, is the entire agreement between us about the Program and supersedes all prior discussions, proposals, and representations. If this Agreement conflicts with the Terms of Service as to the Program, this Agreement controls.

18.9 Headings and interpretation

Headings are for convenience only. "Including" means "including without limitation." No rule of construction against the drafter applies.

18.10 Electronic records

You consent to transact electronically. Electronic acceptance, records, and signatures have the same legal effect as handwritten ones under the E-SIGN Act and Montana's Uniform Electronic Transactions Act.

18.11 Third-party beneficiaries

None, except Apple where required by Apple's developer agreements.

19. Acceptance

By tapping "I Agree", you confirm that you:

  1. Have read this Agreement in full;
  2. Understand and accept the arbitration clause and class action waiver in Section 17, and your 30-day right to opt out;
  3. Understand and accept your FTC disclosure obligations and indemnification in Sections 8 and 16.3;
  4. Understand that free trials earn you nothing — commission is earned only when a referred user converts to a paid subscription, and a user who cancels during the trial never generates commission (Section 5.5);
  5. Understand that commissions are subject to a 30-day hold, clawback, and forfeiture;
  6. Are at least 18 and legally able to contract;
  7. Agree to be bound.

Your acceptance is recorded against this version. The record captures the agreement version (1.1), its permanent version URL, the UTC timestamp of acceptance, your account identifier, and the device (user agent) used at acceptance.

Version history

Every published version of these Affiliate Terms stays available at a permanent URL, so any acceptance can be matched to the exact text that was in force at the time.
